Business Formation and Dissolution
We work collaboratively with our clients’ accountants and consultants to select the best entity to fit our clients’ needs. This can include California corporations, S-corporations, limited liability companies, partnerships and limited liability partnerships. In the event you need to dissolve a business entity, our attorneys can help you do so quickly and efficiently.
We assist clients in forming, acquiring and selling businesses which generally involves negotiating, drafting and reviewing purchase and sale agreements and related documentation. We work closely with our clients’ advisor team to facilitate a smooth and cost effective transaction.
We have a long history of successfully representing our clients in a broad range of litigation matters. We work in both state and federal courts and handle jury trials, bench trials and arbitrations. Our approach to litigating is, where appropriate, to seek a beneficial resolution without resorting to the uncertainties and expense of the litigation system. This may include mediation, settlement conferences and working with our clients to find creative solutions to their problems. When litigating is the best course of action, we zealously represent our clients’ interests and guide them through the entire process.
Contract Preparation and Review
We assist our clients in reviewing and preparing the contracts required by their daily business operations. Although this encompasses an extensive array of business and real estate related contracts, some of the more common include leases, purchase and sale agreements, non-disclosure agreements, vendor relationship contracts and employment related agreements.
